Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 16 – GOVERNING LAW

These Terms and transactions with Designer Plants USA are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules, and Section 16A is governed by the Federal Arbitration Act. This choice of law does not deprive you of the protection of any law of the state where you live that cannot be waived or limited by agreement.

For any dispute that is not subject to arbitration under Section 16A (including if you opt out of arbitration), you and Designer Plants USA agree to the jurisdiction of the state and federal courts located in Sheridan County, Wyoming, except that if you are a consumer you may bring or defend the case in the courts for the county where you live if the law of your state gives you that right. Either party may bring a claim in small-claims court where it qualifies.

SECTION 16A – DISPUTE RESOLUTION: ARBITRATION, CLASS-ACTION WAIVER AND JURY WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

16A.1 Scope. This Section 16A applies to any dispute, claim or controversy between you and Designer Plants USA (including its affiliates, employees and agents) arising out of or relating in any way to the website, these Terms, our Privacy Policy, any product or order, any communication with us (including chat), or the collection, use, recording or sharing of information through the website, whether based on contract, statute (including privacy, wiretap and consumer-protection statutes), tort or any other legal theory, and whether it arose before or after you agreed to these Terms (a “Dispute”). It does not apply to a Dispute already filed in court or arbitration before you first agreed to a version of these Terms containing this Section 16A.

16A.2 Informal resolution first. Before starting arbitration or a small-claims case, the party bringing the Dispute must send the other a written Notice of Dispute. Notices to us must be emailed to sales@designerverticalgardens.com (subject “Notice of Dispute”) and mailed to Designer Plants USA, Attn: Legal, 30 N Gould St, Sheridan, WY 82801, USA. The Notice must include your name, address, email and phone number, any order number, a description of the Dispute, the relief requested, and your personal signature (and your lawyer’s signature if you are represented). We will send any Notice to you at the contact details we have for you. For 60 days after the Notice is received, the parties will try in good faith to resolve the Dispute informally, including, on request, by an individual telephone or video conference. Limitation periods are tolled during this period. A court may enforce this Section 16A.2.

16A.3 Binding individual arbitration. If the Dispute is not resolved within 60 days, either party may start arbitration. Except as provided in Sections 16A.4 and 16A.6, you and we agree that all Disputes will be resolved exclusively by final and binding arbitration on an individual basis, not in court. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (and, where applicable, its Mass Arbitration Supplementary Rules) then in effect, as modified by this Section 16A. The rules are available at www.adr.org. If the AAA is unavailable, the parties will agree on another provider or a court will appoint one.

16A.4 Exceptions: small claims and collections. Either party may (a) bring an individual claim in small-claims court if it qualifies and stays there on an individual basis; (b) seek an injunction in court to stop infringement or misuse of intellectual property; and (c) bring a claim for public injunctive relief as described in Section 16A.10. In addition, we may bring an action (including through a collection agency) to collect amounts you owe that you have not disputed in good faith under Section 16A.2, including amounts described in the Chargebacks & Fraudulent Transactions section above, in small-claims court or another court with jurisdiction. If you dispute those amounts in good faith, the dispute is resolved under this Section 16A.

16A.5 Procedure and costs. The arbitrator may award any individual relief a court could award to an individual under applicable law and must follow these Terms and the law. The arbitration will be conducted by video conference, telephone or written submissions unless the arbitrator decides an in-person hearing is needed, in which case it will take place in the county where you live or another agreed location. Filing, administration and arbitrator fees are governed by the AAA consumer fee schedule; if you are a consumer, we will pay all such fees beyond the filing fee you would pay to start a case in court, unless the arbitrator finds your claim frivolous or brought for an improper purpose. Each party pays its own attorneys’ fees and costs unless applicable law, the Chargebacks & Fraudulent Transactions section above or the arbitrator’s award provides otherwise. The award is final and binding, will include a short written explanation, and may be entered as a judgment in any court with jurisdiction.

16A.6 30-day right to opt out. You may opt out of arbitration by emailing sales@designerverticalgardens.com with the subject “Arbitration Opt-Out” (or by mail to the address in Section 16A.2) within 30 days after you first access the website or place an order after this Section 16A is first posted. Include your name, mailing address, the email address you use with us, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms. If you opt out, Disputes will be resolved in court under Section 16, and the class-action and jury waivers in Section 16A.7 still apply to the extent permitted by law.

16A.7 CLASS-ACTION AND JURY-TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE EACH AGREE THAT ANY DISPUTE WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION OR ARBITRATION, AND THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS (EXCEPT AS PROVIDED IN SECTION 16A.8) OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.

16A.8 Mass arbitration. If 25 or more Notices of Dispute or arbitration demands raising substantially similar claims are submitted by or with the assistance of the same or coordinated counsel or organizations (a “Mass Filing”): (a) the informal process in Section 16A.2 must be completed for each claimant; (b) the AAA Mass Arbitration Supplementary Rules apply where applicable; (c) the claims will be resolved in batches of up to 50 claimants (the first batch selected half by each side), one arbitrator per batch, with remaining claims held in abeyance (and no fees owed for them) until each batch is decided; (d) the parties will consider global mediation in good faith after the first batch; and (e) limitation periods are tolled for held claims from the date the Notice of Dispute was sent. A court may enforce this Section 16A.8. If it is found unenforceable for a Mass Filing, the affected claims proceed under the provider’s mass-filing rules.

16A.9 Who decides. The arbitrator decides all issues relating to the Dispute, including the scope, validity and enforceability of this Section 16A, except that a court decides (a) whether Sections 16A.2, 16A.7, 16A.8 or 16A.10 are valid, enforceable or breached, and (b) whether a Mass Filing exists.

16A.10 Public injunctive relief. If a claim seeks public injunctive relief and a court decides that such relief cannot be waived or arbitrated under applicable law, that claim will be decided by a court under Section 16 after all individual claims have been arbitrated, and the court case will be stayed until then.

16A.11 Severability. If any part of this Section 16A is found unenforceable, the rest still applies, except that if the class-action waiver in Section 16A.7 is found unenforceable for a particular claim or request for relief, that claim or relief (and only that) will be severed, decided in court under Section 16, and stayed pending arbitration of the individual claims. In no case will a class, collective or representative arbitration proceed.

16A.12 Changes; survival. If we make a material change to this Section 16A, we will post it at least 30 days before it takes effect; it will not apply to a Dispute already notified, and you may reject it by emailing us within 30 days, in which case the version you last accepted continues to apply. This Section 16A is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and survives termination of these Terms and completion of any order.
